Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Reific (“Company,” “we,” “us,” or “our”) concerning your access to and use of the reific.app website and any related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

Description of Services

Reific provides cloud-based CAD visualization and rendering services that enable users to generate photorealistic images from CAD files. Our Services may include, but are not limited to:

CAD file processing and rendering
AI-assisted design feedback and suggestions
Collaboration and sharing features
Asset library and project management

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

Account Registration

To access certain features of our Services, you may be required to create an account. When you create an account, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

Acceptable Use

You agree not to use the Services to:

Violate any applicable laws or regulations
Infringe upon the intellectual property rights of others
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to our systems
Interfere with the proper functioning of the Services
Engage in any activity that could damage, disable, or impair the Services
Use the Services for any illegal or unauthorized purpose

Your Content

“Your Content” refers to any CAD files, designs, images, or other materials you upload, submit, or transmit through the Services.

Ownership: You retain all rights to Your Content. By uploading content to our Services, you grant us a limited, non-exclusive license to process, store (if you choose to save), and display Your Content solely as necessary to provide the Services to you.

Representations: You represent and warrant that you own or have the necessary rights to use and authorize the use of Your Content, and that Your Content does not violate any third-party rights.

No Claims to Your IP: We make no claim to ownership of Your Content. Your designs, CAD files, and rendered outputs remain your intellectual property.

Intellectual Property

The Services, including all content, features, and functionality (excluding Your Content), are owned by Reific and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent. You may not reverse engineer or attempt to extract the source code of our software.

Payment Terms

Certain features of the Services require payment. By subscribing to a paid plan, you agree to:

Pay all applicable fees as described at the time of purchase
Provide accurate and complete billing information
Authorize us to charge your payment method on a recurring basis

Fees are non-refundable except as required by law or as explicitly stated otherwise. We reserve the right to change our pricing with reasonable notice.

Service Availability

We strive to maintain high availability of our Services, but we do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We are not liable for any loss or damage resulting from service interruptions or downtime.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be error-free, secure, or available at all times. We do not warrant the accuracy or completeness of any AI-generated suggestions or feedback.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REIFIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Reific and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Services
Your violation of these Terms
Your violation of any third-party rights
Your Content

Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately.

You may terminate your account at any time by contacting us. Upon termination, we will delete your account data in accordance with our Privacy Policy, unless retention is required by law.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with applicable European Union law and the laws of the EU member state in which Reific is established, without regard to conflict of law provisions.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the EU member state in which Reific is established. However, if you are a consumer residing in the EU, you may also bring proceedings in the courts of your country of residence.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reific regarding the Services and supersede all prior agreements and understandings.
